De entre las operaciones de reestructuración empresarial, la transformación de sociedades es la gran olvidada por el legislador fiscal, pese a las indudables ventajas que ofrece tal instituto jurídico, existiendo múltiples problemas sin resolver. Del lado de la doctrina la situación no es muy diferente, existiendo tan sólo algunos artículos que abordan, de forma indirecta, algunos aspectos tributarios concretos de la transformación, no existiendo estudios globales que acometan la figura como un todo. Esto destaca el carácter novedoso de esta monografía. Se estructura en dos partes claramente diferenciadas. En la primera parte se abordan los aspectos fiscales generales que presenta el instituto jurídico de la transformación de sociedades dentro de nuestro sistema fiscal. La posibilidad de establecer unos principios y una base jurídica sólida desde la que dar respuesta a los problemas fiscales que plantea el cambio de régimen de imposición que opera en algunos supuestos de transformación, constituye uno de los principales objetivos de esta primera parte, que queda dividida en cuatro capítulos. En la segunda parte se estudian particularizadamente aquellos supuestos de transformación en los que se concretan los efectos fiscales ya examinados.
