Available in PDF, EPUB and Kindle. Book excerpt: “I enjoyed reading it – which I did from cover to cover and refer back to it too!” Chris Spencer-Phillips, MD, First Flight Non-Executive Directors How much, when to pay, what to pay for and how to motivate directors are key questions to ask when a detailed framework of knowledge is required. Directors' Remuneration Handbook, Second Edition provides this framework, the information and tools to answer these questions. It explains the complexities of directors' remuneration in simple terms, providing examples of best practice and up to date market date as well as a source of reference for key legislation. Directors' remuneration lies at the heart of the debate on effective corporate governance. This is the issue, above all others, in which directors face a conflict of interest. Whilst UK companies are considered to have very high standards of corporate governance and reporting, the economic crisis forced UK companies to consider where things had gone wrong and why. Whilst there has not been a raft of regulation following the economic crisis there have been significant consultations on the importance of UK companies to focus on the issues that matter to their long term success and to their shareholders. Disclosing clear, relevant information on these issues in company reporting is necessary if shareholders are to make well informed decisions in their role as company owners and to establish a clear link between a company's strategic objectives and the criteria for payments to directors. Covers the following key legislation and case law: The new Directors Remuneration Report Regulations (DRRR); New law on votes on remuneration policy and implementation; New EU rules on Banks remuneration; ABI and NAPF best practice guidance. This book was released on 2023-05-01 with total page 231 pages. Available in PDF, EPUB and Kindle. Book excerpt: Love them or hate them, executive remuneration consultants are key players in remuneration committees’ pay determination processes. This book concerns the professional standards of executive remuneration consultants (and their ‘in-house’ counterparts; for example, Human Resources Director and Head of Reward) in providing remuneration committee advisory services. The author is a 25-year ‘veteran’ executive remuneration consultant, having worked around the world in this capacity (particularly in the financial services sector). This book is based on a qualitative empirical doctoral research exercise, involving 53 participants in the UK executive pay scene (including regulators, institutional shareholder bodies, proxy advisors, remuneration committees’ chairs/members, executive remuneration consultants and in-house executive reward specialists). The objective was to formulate conclusions that could be used to the benefit of UK practice and contribute to the relevant academic scholarship on executive remuneration consultants. The research covered 18 aspects, ranging from an examination of the independence of such consultants to whether there might be a specialised accreditation/qualification and/or licence to practise regime covering their services. It provides novel insights into this previously under-researched area of corporate governance/financial regulation. This book will be of interest to those involved in the UK executive remuneration scene, whether government, regulators or any of the other parties mentioned already (plus academics in universities and business schools). It is hoped too that overseas remuneration regimes that have respects in common with the UK’s will find this book useful.

This book was released on 2012-01-20 with total page 430 pages. Available in PDF, EPUB and Kindle. Book excerpt: Since the publication of the first edition of this book in 2005, the world of financial investment has experienced an unprecedented boom followed by a spectacular bust. Significant changes have been proposed and in some cases implemented in areas such as the structure of regulation, the organisation of markets, supervision of market participants and the protection of consumers. The second edition takes account of these developments, integrating them into an analytical framework that enables the reader to develop a critical overview of the role of general legal rules and specialised systems of regulation in financial investment. The framework focuses on the role of contract, trusts and regulation as the primary legal influences for financial investment. The first part explores the relationship between investment, law and regulation. The second part examines the nature of investments and investors, both professional and private. The third part discusses the central role of corporate finance and corporate governance in linking investors with enterprises that require external capital. The fourth part examines the nature, operation and regulation of markets and the participants that support the functioning of the markets. The objective remains to provide a broadly-based and critical account of the role of law in financial investment. "MacNeil's eloquent and informative distillation of the regulatory fundamentals of investment law gives his book much international relevance...a timely contribution to help readers decipher the seemingly inextricable maze of financial regulation...Practitioners and legal policy advisers will..welcome it. They should find enlightening the book's careful scrutiny of the trust and contractual foundations of investment law and practice."
