Book excerpt: This paper reflects revisions made for a programming error and to reflect articles published subsequent to the original draft in early 1999. A programming error reversed the signs on all the variables used in our original logit analysis. As a result the 1999 draft of this paper concluded that in-market acquisitions discouraged de novo entry, while this revision concludes just the opposite: in-market acquisitions encourage de novo entry. However, the original draft conclusion that out-of-market acquisition activity does not significantly encourage de novo entry still holds after correcting the programming error. The complex economic variables used in the draft from 1999 were simplified in this version and data for 1998 were added.The increase in both the number of bank (and thrift) mergers and the number of de novo entries has led the press to speculate that these trends are interrelated. Specifically, the media have suggested that out-of-market acquisitions encourage de novo entry. This paper examines the determinants of de novo entry at the individual market level and specifically tests the hypothesis that out-of-market acquisitions lead to de novo entry into that market. This study differs from the earlier literature on the determinants of de novo entry in several respects: (1) Banks and thrifts are treated as full competitors and included in the empirical work. (2) The time frame examined is 1995-1998, a period of record earnings for banks and thrifts. (3) The data for new charters have been scrubbed so that only true de novo entrants are included in the empirical work. A theoretical framework for de novo entry is developed, and logit analysis is applied to all MSAs for the four-year period.

Bank distress does not appear to affect small business lending, although even small firms may react to bank distress by borrowing from multiple banks. Consolidation of the banking industry is shifting assets into larger institutions that often operate in many nations. Large international financial institutions are geared toward serving large wholesale customers. How does this affect the banking system's ability to lend to informationally opaque small businesses? Berger, Klapper, and Udell test hypotheses about the effects of bank size, foreign ownership, and distress on lending to informationally opaque small firms, using a rich new data set on Argentinean banks, firms, and loans. They also test hypotheses about borrowing from a single bank versus borrowing from several banks. Their results suggest that large and foreign-owned institutions may have difficulty extending relationship loans to opaque small firms, especially if small businesses are delinquent in repaying their loans. Bank distress resulting from lax prudential supervision and regulation appears to have no greater effect on small borrowers than on large borrowers, although even small firms may react to bank distress by borrowing from multiple banks, despite raising borrowing costs and destroying some of the benefits of exclusive lending relationships. Deregulation, a cornerstone of President Reagan's Administration, resulted in federal and state legislation that contributed to increased competition for financial services and increased merger activity. During the 1981-1986 period, there were 2,139 mergers in banking and finance, accounting for 16 percent of total merger activity.l More mergers occurred in banking and finance than in any other industry. Because of these bank mergers, there are vast amounts of data avail able for scholarly research. This book presents some results of that research which will be of interest to academics, bankers, investors, legislators, and regulators. The book consists of ten articles, and it is divided into three parts. Part 1: National and Regional Bank Mergers gives a broad perspective of merger activity. The first article by Peter S. Rose compared the growth of bank holding companies that merged with those that did not merge. One conclusion of his study was that banks planning mergers tended to be aggressively managed and were often beset by problems, such as low profitability or declining loan quality. Mergers were one solution to their problems. But he found no solid evidence that mergers resulted in greater profitability or reduced risk. He also observed that acquiring banks did not seem to grow faster than those choosing not to merge.
