Malgré les mérites de cette approche, la ou les définitions proposées se sont progressivement révélées insatisfaisantes. La raison en est simple : le droit des sociétés est plus que jamais sous l'influence des droits économique et boursier. Ce phénomène n'a pas manqué de bouleverser les mentalités et les comportements des investisseurs. Jadis très actifs, les actionnaires délèguent de plus en plus les pouvoirs qu'ils tiennent de la détention d'actions. Des tiers étrangers interviennent de plus en plus dans les affaires sociales, limitant ainsi la portée de la conception doctrinale de la notion d'associé. Un ré-examen du concept était plus que jamais nécessaire. Sans véritablement remettre en cause l'analyse ancienne, la notion d'associé ne peut aujourd'hui être définie qu'en tenant compte de critères nouveaux tels que : la propriété et surtout l'intérêt social. Dès lors, l'associé est le propriétaire d'actions qui exerce directement ou non les droits politiques attachés aux actions dans l'intérêt commun. L'intervention dans les affaires sociales n'est plus un critère autonome de l'associé
