Book excerpt: The crisis of capitalism commonly referred to as "global economic meltdown" is not totally unexpected by the cognoscenti in view of the trajectory of capitalism in world history. Pointer to this periodic turbulence in the capitalist mode of developments is the great Wall Street crash of 1929 and the Financial Thunderstorm of 1987. Developed economies have therefore overtime adopted command economic mechanism to deal with associated problems of economic crisis. Reacting to the global economic meltdown, president Barak Obama was recently reported to be admonishing that all parties concerned should down play on ideology in favour of a pragmatic approach to resolving the problems thrown up by the financial crisis. This research is therefore an exploratory attempt to review and evaluate the impact of regulation on the practice of corporate governance in Nigeria Banks as a means of resolving financial crisis. The research shall be highlighting the evolution of banking business in Nigeria through the global financial crisis and its effect on the Nigerian banking sector. The research will bring out the effect of command and control mechanism of regulation in Nigerian banking sector on the basis of the level of market stability achieved before and after CBN intervention as a result of market failure. The study would also suggest optimal structure of Corporate Governance Policies and Procedure to be applied by Board and Management of Banks in Nigeria.

Book excerpt: Fraud is an economic and social menace with multiplier adverse consequences on individuals, organizations and the society at large. Hence, the Fraud Box key Model (FBKM) was used as one of the palliative measures to eradicating and proffering a permanent solution to this monster called fraud. The aim of this study was to ascertain the effectiveness of forensic accounting as a corporate governance tool in reducing fraud and improving internal control systems in the Banking Industry. A Likert scale questionnaire was designed and used as the research instrument for data generation from respondents. 120 questionnaires were administered to bankers in Benin City using the judgmental sampling technique. Data obtained were analyzed using Binomial test. Findings from the study revealed that forensic accounting aside significantly reducing fraud in the banking industry, has helped to improve considerably the internal control systems of banks. It was recommended that the regulatory agencies and shareholders should strictly enforce forensic accounting of banks and ensure that both internal control and internal audit staff embrace this emerging trend. Similarly, accounting professional bodies and academic institutions should provide the required specialized courses to ensure that forensic accounting personnel are adequately trained. Bank employees should be duly sensitize on the dangers inherent in fraud and the imperative of morals. Finally, stakeholders should cooperate to ensure a fraud free banking industry.

Book excerpt: The corporate world over the past few decades has been plagued with instances of corporate mismanagement which resulted in the collapse of several companies. In Nigeria, several banks have collapsed, with the most recent being in 2018, and these failures have been largely credited to weak corporate governance practices. Banks are key in the development of emerging economies; therefore, good corporate governance of banks has far-reaching implications. To regulate corporate governance in Nigeria's banking industry, the principles-based approach is utilized. However, a critical examination would reveal that it has proven inadequate in achieving the regulatory objectives in light of the current challenges faced. This study proposes a restructure of the current system of regulating governance in the Nigerian banking industry. To achieve this, I engaged in a comparative analysis of the traditional principles-based and rules-based approach to governance regulation, using Canada and the United States as case study. Taking into consideration lessons from this cross-jurisdictional analysis, as well as the peculiarity of the Nigerian banking environment, the study explores new perspectives for regulating corporate governance within Nigerian banks and proposes the adoption of a unique approach.

Book excerpt: The theoretical obligation of the managers in the agency theory is to safeguard the interest of the shareholders, and this study is targeted at investigating the impact of corporate governance on the performance of nine selected banks in Nigeria. The study performs a pooled Ordinary Least Square (OLS) regression analysis of the data from 2006 to 2010. The findings suggest that both size of the board and its ownership structure have positive significant effects on the Return on Equity (ROE). However, the influence of governance indicator on the assets of the companies is significantly negative. Further, the board composition is found to be insignificant as a predictor of profitability measures. The regulatory influence and economic conditioning factors also show no significant effect on Return on Assets (ROA) as well as ROE, suggesting that the banks have developed the ability to absorb or conceal domestic shocks in the economy. The results generally support the hypothesized fact that the banking industry suffers from asset management and poor governance malaise. The study recommends that the regulatory authorities, including the Asset Management Company of Nigeria, be involved in the screening and monitoring of debt assets beyond the current salvage practice.

The paper reviews literature on the various control measures in operation and their effectiveness in controlling fraud in the banking industry. Questionnaires were issued to the staff of ten banks. The questions asked centered on the effectiveness of the regulatory measures used by the banks in detecting and preventing fraud in the banking operations. In all, seventy three staff responded, and the paper is able to establish that adherence to the various disclosures requirements by the regulatory authorities and effective control measures will help in the detection and prevention of fraud cases in the Nigerian banking industry. It is the recommendation of the paper that management must be on alert to always review the internal control system operating in the bank in such a as to make it difficult for the possibility of the occurrences of fraud, and to always make adequate and relevant disclosures to the relevant authorities of their returns.

Book excerpt: In the corporate governance of banks, bank boards of directors play a significant role by monitoring and advising management in the formulation and implementation of strategies. Our hypothesis is that certain characteristics of bank boards (size, composition and proactiveness) determine the effectiveness of the boards in carrying out its monitoring and advisory roles. After controlling for heterogeneity and endogeneity using the two-step system estimator, we find that admitting new members into the board improves bank performance up to a certain point 'efficient limit' where continuous increase of the board size begins to destroy value. We observe an inverse relation between board meetings and bank performance which suggest to us that bank boards that meet more often are only reacting to bank's poor performance. This challenges the widespread belief that frequent board meetings play a role that is more proactive than reactive. We agree that bank boards strategically alleviate the problems of governance in banks and reduce the weakness of other corporate governance mechanisms, especially the regulatory and external governance mechanism. Hence empowering boards through incentive packages and enlarged responsibilities with authority to monitor, sanction, reprimand and advise management will be the way forward for the Nigerian banking sector.

Book excerpt: The book examined the nature of the impact that internal corporate governance characteristics, consisting of the board and bank sizes, proportion of non-executive directors on the board and the share ownership of the executive and non-executive directors, have on the audit quality of Nigerian banks. It acquaints the reader of the effort of the board of directors of the banks to provide good audit quality at high cost which invariably exposed the board and the auditors to the risk of economic bonding and threat to the bank auditors' independence including the audit quality of the bank. This book also shows that the engagement of bank specialist auditors by the non-executive directors to provide good audit quality failed to favourably impact on the audit quality of Nigerian banks.

Book excerpt: The purpose of this study was to assess the impact of corporate governance on banks stakeholders and efficient bank management in Nigeria. The corporate governance variable employed in this study was that of board of directors. The two proxies selected for this research as independent variables are Board size and Board composition. Whilst the proxy for the dependent variable employed was earnings per share since regression only depicts the relationship that exist between two variables (x and y). This study made use of secondary data obtained from the financial reports of five (5) banks for a period of eight (8) years (2005-2012). Secondary data was analysed using Regression while chi-square was used to analyse the primary data from bank operators through administered questionnaire. The results generated were found to be similar to that of other previous scholars who have carried out a research on the issue of corporate governance and banks profitability. This study makes a significant contribution to research by exposing the importance of corporate governance in the Nigerian Banking System. The study supported the hypothesis that corporate governance positively affects not only stakeholders but also efficient bank management.

It gathers papers presented at the 6th International Conference on Governance, Fraud, Ethics and Social Responsibility, which was held in Penang, Malaysia on 18–19 November 2015. The content is divided into three major sub-themes: Corporate Governance and Accountability; Corporate Social Responsibility (CSR) and Sustainable Development; and Ethics, Risk and Fraud. The first sub-theme addresses recently identified issues, such as corporate governance reporting, corporate governance regulation differences between countries, governance and financial market economics, financial market supervision, and control and risk management. In turn, the second sub-theme focuses on international auditing standards, green/socially responsible investment, environmental and social accounting and auditing, CSR-related matters, legislation and CSR reporting differences for public listed companies, accounting for sustainable development performance, and sustainability assessment models. The third sub-theme puts the spotlight on financial assessment and diagnosis, modeling, hedging, fraud, bankruptcy, accounting and auditing ethics and ethical problems in financial markets. Taken together, the issues discussed here provide state of art theories and empirical evidence approached from broad perspectives, making the book a valuable resource for researchers, students and practitioners alike.

Book excerpt: This sixth peer review of the OECD Principles of Corporate Governance analyses the corporate governance framework and practices relating to corporate risk management, in the private sector and in state-owned enterprises. The review covers 26 jurisdictions and is based on a general survey of all participating jurisdictions in December 2012, as well as an in-depth review of corporate risk management in Norway, Singapore and Switzerland. The report finds that while risk-taking is a fundamental driving force in business and entrepreneurship, the cost of risk management failures is often underestimated, both externally and internally, including the cost in terms of management time needed to rectify the situation. The reports thus concludes that corporate governance should ensure that risks are understood, managed, and, when appropriate, communicated.

Book excerpt: Since the 2003 Financial Stability Assessment Program (FSAP) update, Ghana’s financial system has undergone rapid growth and structural transformation. The authorities have been implementing reforms to enhance the financial system’s resilience to shocks and its contribution to growth. The vulnerabilities reflect the interplay of several factors, but state involvement is an important element. The other contributory factors include deficiencies in commercial banks’ risk management, supervision, and the insolvency regime. Additional recommendations are detailed in the Report on the Standards and Codes on Compliance (ROSC) with the Basel Core Principles (BCP).

Book excerpt: Since her political independence from the British government in 1960, Nigeria has gone through different phases in the effort to develop the corporate sector. Meticulously researched and organized, this book takes the global view on corporate governance to provide insight into the corporate governance conundrum in Nigeria. Against the background of international standard, Author, Olusola A. Akinpelu proposes a number of reforms to the existing governance structure and delves into the history of corporate development from the 1960s through the present. In addition, Akinpelu offers an in-depth analysis of the philosophical foundations for corporate governance and compiles the theories, models, statutes, reforms, international standards, guidelines, and legal cases on corporate governance in the United Kingdom, Germany, the United States of America, and elsewhere to show how no country is completely immune from corporate collapse. A timely work, Corporate Governance Framework in Nigeria will interest students of business economics, business law, legal practitioners, and researchers in the field of corporate governance.
