Book excerpt: Fraud is an economic and social menace with multiplier adverse consequences on individuals, organizations and the society at large. Hence, the Fraud Box key Model (FBKM) was used as one of the palliative measures to eradicating and proffering a permanent solution to this monster called fraud. The aim of this study was to ascertain the effectiveness of forensic accounting as a corporate governance tool in reducing fraud and improving internal control systems in the Banking Industry. A Likert scale questionnaire was designed and used as the research instrument for data generation from respondents. 120 questionnaires were administered to bankers in Benin City using the judgmental sampling technique. Data obtained were analyzed using Binomial test. Findings from the study revealed that forensic accounting aside significantly reducing fraud in the banking industry, has helped to improve considerably the internal control systems of banks. It was recommended that the regulatory agencies and shareholders should strictly enforce forensic accounting of banks and ensure that both internal control and internal audit staff embrace this emerging trend. Similarly, accounting professional bodies and academic institutions should provide the required specialized courses to ensure that forensic accounting personnel are adequately trained. Bank employees should be duly sensitize on the dangers inherent in fraud and the imperative of morals. Finally, stakeholders should cooperate to ensure a fraud free banking industry.

In Nigeria, several banks have collapsed, with the most recent being in 2018, and these failures have been largely credited to weak corporate governance practices. Banks are key in the development of emerging economies; therefore, good corporate governance of banks has far-reaching implications. To regulate corporate governance in Nigeria's banking industry, the principles-based approach is utilized. However, a critical examination would reveal that it has proven inadequate in achieving the regulatory objectives in light of the current challenges faced. This study proposes a restructure of the current system of regulating governance in the Nigerian banking industry. To achieve this, I engaged in a comparative analysis of the traditional principles-based and rules-based approach to governance regulation, using Canada and the United States as case study. Taking into consideration lessons from this cross-jurisdictional analysis, as well as the peculiarity of the Nigerian banking environment, the study explores new perspectives for regulating corporate governance within Nigerian banks and proposes the adoption of a unique approach.

Book excerpt: The theoretical obligation of the managers in the agency theory is to safeguard the interest of the shareholders, and this study is targeted at investigating the impact of corporate governance on the performance of nine selected banks in Nigeria. The study performs a pooled Ordinary Least Square (OLS) regression analysis of the data from 2006 to 2010. The findings suggest that both size of the board and its ownership structure have positive significant effects on the Return on Equity (ROE). However, the influence of governance indicator on the assets of the companies is significantly negative. Further, the board composition is found to be insignificant as a predictor of profitability measures. The regulatory influence and economic conditioning factors also show no significant effect on Return on Assets (ROA) as well as ROE, suggesting that the banks have developed the ability to absorb or conceal domestic shocks in the economy. The results generally support the hypothesized fact that the banking industry suffers from asset management and poor governance malaise. The study recommends that the regulatory authorities, including the Asset Management Company of Nigeria, be involved in the screening and monitoring of debt assets beyond the current salvage practice.

It is the recommendation of the paper that management must be on alert to always review the internal control system operating in the bank in such a as to make it difficult for the possibility of the occurrences of fraud, and to always make adequate and relevant disclosures to the relevant authorities of their returns.

Book excerpt: In the corporate governance of banks, bank boards of directors play a significant role by monitoring and advising management in the formulation and implementation of strategies. Our hypothesis is that certain characteristics of bank boards (size, composition and proactiveness) determine the effectiveness of the boards in carrying out its monitoring and advisory roles. After controlling for heterogeneity and endogeneity using the two-step system estimator, we find that admitting new members into the board improves bank performance up to a certain point 'efficient limit' where continuous increase of the board size begins to destroy value. We observe an inverse relation between board meetings and bank performance which suggest to us that bank boards that meet more often are only reacting to bank's poor performance. This challenges the widespread belief that frequent board meetings play a role that is more proactive than reactive. We agree that bank boards strategically alleviate the problems of governance in banks and reduce the weakness of other corporate governance mechanisms, especially the regulatory and external governance mechanism. Hence empowering boards through incentive packages and enlarged responsibilities with authority to monitor, sanction, reprimand and advise management will be the way forward for the Nigerian banking sector.

The results generated were found to be similar to that of other previous scholars who have carried out a research on the issue of corporate governance and banks profitability. This study makes a significant contribution to research by exposing the importance of corporate governance in the Nigerian Banking System. The study supported the hypothesis that corporate governance positively affects not only stakeholders but also efficient bank management.
