It then, using a comprehensive empirical study of 265 companies listed on the Karachi Stock exchange, tests this conceptual model. It argues that the sector needs to implement corporate governance as a tool to mitigate business risks; appoint and empower non-executive directors to achieve an effective monitoring of management; and establish their own ethical and governance principles, applicable to the Board of Directors. Based on an extensive data base, collected painstakingly over five years, this book offers new insights and conceptual framework for further research in this area. The study will check whether higher and better corporate governance scores lead to better performance of the companies. It is found in the study that corporate governance practices have limited impact on both the share prices of the companies as well as on their financial performance.

Constructing a broad corporate governance index for listed Turkish companies, it is documented that there is a positive relationship between governance scores and Tobin's Q as a measure for firm performance. Firms with better corporate governance scores in the model used in this book have higher firm values, which implies that firms can increase shareholder value by restructuring their corporate governance standards. The analysis also sheds light on the impact of ownership structure on stock performance. Listed companies withhigher corporate governance scores and higher foreign ownership ratios experienced a smaller reduction in their share prices during the equity market crash in Turkey parallel to the global equity markets between 2008 and 2009.

Those researchers who could not find significant link between corporate governance and firm performance suggest that good corporate governance has at least indirect effect on performance. This research attempts to prove that corporate governance effects firm performance directly; relatively it exerts its effects on firm performance through other factors such as capital structure decisions and dividend policy. This research study develops a multilevel model linking corporate governance, capital structure, dividend policy and firm performance then proves it through structural equation modeling (SEM). Corporate governance has been measured and conceptualized through Board Size, Board Composition, CEO Duality, Audit Committee Size and Annual General Meetings. Capital structure has been measured through it standardized proxy that is debt to equity ratio, while dividend policy is measured by dividend payout ratio. Firm performance has measured by two ratios return on assets (ROA) and return on equity (ROE) both are used as accounting and financial measure in the literature review.

We propose a configurational approach to explore how different causal conditional effects are interdependent in explaining firms' performance. Using fuzzy-set qualitative comparative analysis, we find that no single causal condition is sufficient for firms achieving high performance. Instead ownership structure and the role of board of directors (in combination with country specific factors' strength of formal institutions) configurational conditions that lead firms' higher performance amongst different organizational life cycles. Moreover, the causal factors configure in different ways for firms growth, maturity and declining trends. This study demonstrates the value of using a configurational analytical approach to explore both the firm and country specific corporate governance practices (together) that engage firms to achieve the desired level of performance.

Business media debate their merits and defects as if individual leaders determined the health of the economy. Yet we know surprisingly little about how CEOs are selected and dismissed or about their true power. This is the first book to take us into the often secretive world of the CEO selection process. Rakesh Khurana's findings are surprising and disturbing. In recent years, he shows, corporations have increasingly sought CEOs who are above all else charismatic, whose fame and force of personality impress analysts and the business media, but whose experience and abilities are not necessarily right for companies' specific needs. The labor market for CEOs, Khurana concludes, is far less rational than we might think. Khurana's findings are based on a study of the hiring and firing of CEOs at over 850 of America's largest companies and on extensive interviews with CEOs, corporate board members, and consultants at executive search firms. Written with exceptional clarity and verve, the book explains the basic mechanics of the selection process and how hiring priorities have changed with the rise of shareholder activism. Khurana argues that the market for CEOs, which we often assume runs on cool calculation and the impersonal forces of supply and demand, is culturally determined and too frequently inefficient. Its emphasis on charisma artificially limits the number of candidates considered, giving them extraordinary leverage to demand high salaries and power. It also raises expectations and increases the chance that a CEO will be fired for failing to meet shareholders' hopes. The result is corporate instability and too little attention to long-term strategy. Book excerpt: This study has four key objectives as follows: first, to test how family-controlled firms are associated with firm performance in Europe; second, investigate whether the blockholding influences firm performance; third, to compare firm performance of active family controlled firms with passive family controlled firms; and finally, to analyse the relationship between family ownership and firm performance. Data for this study comprise listed firms from 16 countries in Europe for the period 2006 to 2015. Our sample comprises more than 34% of listed firms that are family-controlled. Our results show that family-controlled firms' perform better than the nonfamily-controlled firms. However, blockholding tends to dampen firm performance, that is, especially when family control is greater than 40%, whereas, family control less than 30% tends to improve performance. Furthermore, firms that are active family controlled (family holding at least one of the top two officer positions) tends to have improve firm performance. These result suggest that family firm lowers the agency problem between the owners and managers, and active family control is good for family firm daily running.
