It explains how privatized post-Soviet enterprises, many of which made little sense as business units, were transformed into functional firms able to operate in the environment of a market economy. It provides detailed case studies of three key companies – Yukos Oil Company, Siberian (Russian) Aluminium and Norilsk Nickel – all of which played a key role in Russia’s economic recovery after 1998, describing how these companies were created, run and have developed. It shows how Russian businesses during the 1990s routinely relied on practices not entirely compatible with formal rules, in particular in the area of corporate governance. The book fully explores the critical role played by informal corporate governance practices - such as share dilution, transfer pricing, asset stripping, limiting shareholders access to votes, and 'bankruptcy to order’ - as Russian big business developed during the 1990s. Unlike other studies on Russian corporate governance, this book highlights the ambiguous impact of informal corporate governance practices on the companies involved as commercial entities, and suggests that although their use proved costly to Russia’s business reputation, they helped core groups of owners/managers at the time to establish coherent business firms. Overall, the book shows that we cannot understand the nature of current economic changes in Russia without recognising the crucial role played by informal corporate governance practices in the creation and development of big business in post-Soviet Russia.

Today, Russia is still considered one of the grey areas for the foreign investors on the world map, as its political and economic system are still in transition and bear significant risks for investors. One of the unique features of the Russian economy, which distinguishes it from the more developed Western countries, is the high State involvement in the economy through ownership in the largest companies in the country. Although, these State-Owned Companies are responsible for the substantial part of country's GDP, there has been limited amount of research on corporate governance of such companies. In order to narrow this gap, the goal of this Thesis is to discover and analyse corporate governance system and standards applied by the State-Owned Companies in Russia and compare them with the available best practices. In order to do so, Hilb's New Corporate Governance (2012) model has been chosen as a main theoretical framework of analysis. Findings of the survey and research conducted by the author show that Russian State-Owned Companies have already implemented compliant corporate governance systems, which to the certain extent enable the proper oversight of the company. Nevertheless, after comparing these systems with best practices available in the literature, the main conclusion of conducted analysis was that, although the significant progress has already been achieved, there is still plenty of room for improvement and refinements which can enhance effectiveness and overall quality of the corporate governance systems observed in the R.

Book excerpt: This study is an empirical examination of the impact of business group (BG) affiliation on various measures of firm performance in a transition economy, Russia. The Russian economy provides a unique opportunity for testing of the effects of BG affiliation, which is important for both mature markets and developing economies. A panel sample of around 1000 companies was constructed for the period 1998 to 2001, based on information obtained from a large commercial database, Arnadeus. For the purpose of this study, all firms are divided into two main subgroups: oligarchic business groups (OBGs - economically powerful private business groups with either horizontal or vertical control structures and concentrated ownership in the hands of few individuals) and non-oligarchic firms. A measure for OBGs is created and tested for reliability and validity and a structural model for OBGs is also developed. This measure is then used as a determinant of three major performance measures: profitability, investment and productivity. The results indicate that OBG affiliation is positively but weakly related to firm profitability and productivity. However, the study also finds a redistribution effect of OBGs on their affiliated member firms' profits and debts. This redistribution effect may suggest a stabilization role of BGs in the absence of appropriate market institutions, but might also suggest an opportunistic value transfer. Empirical support for a corporate version of the Laffer curve is also found. That is, relative to their unaffiliated counterparts, OBG affiliated firms have a tendency to outperform their un-affiliated counterparts in terms of taxes paid to state and local budgets, provided that tax rates are lower and tax law enforcement is stronger.
