Therefore, stronger corporate governance can reduce the returns from M&A activity, including M&A foreign direct investment (FDI). This, in turn, can reduce the returns from non-M&A FDI in light of the complementary relationship between M&A and non-M&A FDI. We use firm-level evidence to empirically examine the effect of corporate governance in the United States (US) on Japanese M&A and non-M&A FDI inflows. In doing so, we expand upon Alba, Park, and Wang (2009), which looked only at the M&A FDI inflows. We find that two landmark US corporate governance regulations help explain the sharp drop in both Japanese M&A and non-M&A FDI into the US during the 1990s. The regulations apparently encouraged US firms to improve their corporate governance. Our evidence thus suggests that corporate governance may affect both M&A and non-M&A FDI.

Using firm-level data on cross-border mergers and acquisitions (M&A) and corporate governance in 22 countries, we find that cross-border M&As are associated with subsequent improvements in the governance, valuation, and productivity of the target firms’ local rivals. This positive spillover effect is stronger when the acquirer is from a country with stronger shareholder protection and if the target’s industry is more competitive. We conclude that the international market for corporate control promotes the adoption of better corporate governance practices around the world.

Christoph Nedopil focuses in this study on the topic what influence international investments have on the development of the corporate governance environment and answers this question both conceptually and empirically. For this purpose a quantifiable model for the corporate governance environment is developed, which is analyzed employing a novel dataset for the period between 1991 and 2005. The author can show that the corporate governance environment in developing countries improves under certain circumstances, especially if the corporate governance environment of the source country of the investment is higher developed. The findings of this study help both the academic debate on corporate governance as well as the economic and political discussion on whether and how foreign investors influence the evolution of various institutions.

The People's Republic of China (PRC) has shown tremendous Gross Domestic Product (GDP) growth in absolute and per capita terms of 9.3% and 8.0% per annum, respectively, over the last 25 years since market oriented reforms were started in 1978. Its GDP per capita has quadrupled over this period reaching around 1,000 US$ in 2003. The market oriented reforms in China can be divided into two stages, dubbed "reforming the system" from for the first 15 years and "replacing the system" from 1993 onwards. In the second stage a significant determinant of China's success has been its policy of opening up the economy and attracting foreign direct investment (FDI). FDI grew with a compound annual growth rate (CAGR) of 26.7%, and the growth rates in the 90s have even been more staggering with FDI reaching about 50 billion US$ in 2002. This FDI growth went hand in hand with growing imports and exports, reaching over 300 billion US$ in 2003 with a CAGR of 14.7% and 15.6%, respectively. This paper aims at answering the question stated in the opening paragraph by analyzing the specific market oriented reforms which have taken place in the two stages of the Chinese reform process. The paper argues that China definitely has made enough reforms to justify the significant FDI which has been flowing into the country. However, there clearly is a need for more reforms as China becomes more and more interconnected in a globalized world economy, especially with joining the World Trade Organizati
