The globalisation of world markets is proceeding with ever-increasing speed, stimulated by developments like the introduction of the single European currency, and even the smallest transactions frequently now include a cross-border element. Business executives and their advisers participating in a transaction need a clear and concise framework of understanding, which will enable them to identify the critical issues likely to affect the course of the deal and to formulate the questions on which detailed advice will be needed. Corporate Acquisitions and Mergers in Switzerland provides a one-stop guide to the practical issues involved for this jurisdiction. The following key topics are addressed: cultural aspects; regulatory framework; common financing methods; antitrust/competition aspects; taxation aspects; employment considerations; procedural formalities; accounting treatment of acquisitions and mergers; future developments. Professional advisers involved in merger and acquisition activity in Switzerland, including bankers, independent lawyers or in-house counsel, tax consultants, accountants, public relations advisers, and actuaries, will find Corporate Acquisitions and Mergers in Switzerland an invaluable and reliable source of practical reference and information. This volume originally appeared as a country report in the loose-leaf work Corporate Acquisitions and Mergers edited by Peter Begg.

Book excerpt: A tender offer is the most common way to obtain control of a listed company in Switzerland. In a hostile scenario, it is the only form of transaction that allows seeking control against the will of the target's board. Furthermore, tender offers are popular for going-private transactions and repurchase programs, or when introducing a holding structure. This book provides a concise and practical guide to Swiss takeover and shareholder disclosure law and the extensive practice of the Swiss regulators. It is addressed to lawyers in private practice and to in-house counsel, as well as to other practitioners in public M&A (board members, members of management, investment bankers, auditors, etc.). In addition, the book will prove a valuable text for law and business students interested in public takeovers. (Series: Swiss Law in a Nutshell)

Unlike the magnitude of previously published papers on the success implications of US mergers and acquisitions, evidence on the stock performance effects of European or Swiss events is sparse. The study bridges this gap by empirically analyzing 211 merger and acquisition announcements of Swiss domestic acquirers between 1999 and 2007.

Available in PDF, EPUB and Kindle. Book excerpt: News of a merger or acquisition is a big event in the life of a company, which stirs uncertainty, anxiety and fear. The changes, redundancies and so on, that often follow this news, are a further source of turmoil for the employees of both companies involved. There is no magic formula to avoid these effects completely. However, good planning, communication and human resource practice can mitigate the worst of them; keep everyone that matters on board; and ensure that the new organization maintains your reputation for sensitive people management. Get it wrong, on the other hand, and you may lose the very people you were most anxious to keep; put the success of the process at risk and even face employment tribunals or other legal proceedings. In addition, imagine how these processes are complicated by any transnational elements. James F. Klein and Robert-Charles Kahn provide a practical, hands-on guide to successfully integrating HR functions following any merger or acquisition within Europe. The book guides you step by step, providing the methodology, tools, sequence of events and necessary material. It includes comparative tables, tips and stories illustrating the differences, specific issues and pitfalls that are particular to the different European countries. 20 years of human resources experience across companies in continental Europe has gone into creating this blueprint to successfully implementing the people side of successful mergers and acquisitions.

Book excerpt: This thesis aims to contribute to the research of Chinese internationalization efforts and the attractiveness of Switzerland as business destination, by analyzing the motivations of the past Chinese Mergers & Acquisitions in Switzerland. These activities have been increasing in number and size in the last decade and are of foremost interest for scholars, corporate strategists, lawmakers, as well as businesses involved in Mergers & Acquisition processes. The analysis is based on a comprehensive framework, which is derived and combined from Foreign Direct Investments and Mergers & Acquisitions theories as well as existing research about Chinese outgoing economic activities. The framework consists of Chinese ownership, Swiss location, and Internalization advantages. An extensive dataset of 65 deals is analyzed and combined with inputs from seven expert interviews to determine key factors and discuss the main trends and motivations. The key findings of this thesis show, that Chinese firms possess ownership advantages which they try to exploit by acquiring Swiss corporations and their assets. The motivations are mainly advanced asset- seeking as well as product-diversification, to market Swiss products and services in the domestic market. Most targets have been specialized niche-players with upstream capabilities and a B2B focus. Nevertheless, Switzerland is not an attractive end-customer market, but a gateway to the Global market. Main targeted industries have been industrials, resources and commodity, watches and high-tech firms.

Book excerpt: This book highlights research-based case studies in order to analyze the wealth created in the world’s largest mergers and acquisitions (M&A). This book encourages cross fertilization in theory building and applied research by examining the links between M&A and wealth creation. Each chapter covers a specific case and offers a focused clinical examination of the entire lifecycle of M&A for each mega deal, exploring all aspects of the process. The success of M&A are analyzed through two main research approaches: event studies and financial performance analyses. The event studies examine the abnormal returns to the shareholders in the period surrounding the merger announcement. The financial performance studies examine the reported financial results of acquirers before and after the acquisition to see whether financial performance has improved after merger. The relation between method of payment, premium paid and stock returns are examined. The chapters also discuss synergies of the deal-cost and revenue synergies. Mergers and acquisitions represent a major force in modern financial and economic environment. Whether in times of boom or bust, M&As have emerged as a compelling strategy for growth. The biggest companies of modern day have all taken form through a series of restructuring activities like multiple mergers. Acquisitions continue to remain as the quickest route companies take to operate in new markets and to add new capabilities and resources. The cases covered in this book highlights high profile M&As and focuses on the wealth creation for shareholders of acquirer and target firms as a financial assessment of the merger’s success. The book should be useful for finance professionals, corporate planners, strategists, and managers.
