Book excerpt: Esta obra trata de llenar el vacío doctrinal existente acerca del contrato estimatorio, figura poco estudiada, pero, sin embargo, muy frecuentemente concertada en la realidad: las posibilidades de devolver la mercancía no vendida y de obtener financiación a favor del consignatario, que intenta vender los bienes muebles que le entrega el dueño o fabricante de los mismos, junto con la posibilidad de éste de utilizar la infraestructura y profesionalidad ajenas, hacen del contrato estimatorio un acuerdo de gran trascendencia práctica. Esa escasez de tratamiento, agudizada por la ausencia de regulación legal en nuestro Derecho y por la falta de una jurisprudencia realmente clarificadora, justifica un estudio que intenta explicar la esencia de este contrato. La tan reiterada celebración del contrato estimatorio en el ámbito de la distribución comercial de mercancías (librería, prensa, joyería, ropa de temporada...), junto a su también relativa frecuencia entre los particulares que convienen con algún profesional la venta de ciertos objetos de valor (obras de arte, antigüedades...), reclamaba un análisis detenido de su naturaleza y efectos, a caballo entre el Derecho Civil y el Derecho Mercantil. El problema elegido como punto de partida, el de la transmisión de la propiedad de las mercancías o bienes muebles entregados, permite abordar las principales cuestiones que plantea el contrato estimatorio: cuáles son los acreedores que pueden dirigirse contra dichos bienes (¿los del tradens o los del accipiens?), y la protección del tradens o la del tercero (adquirente del accipiens) ante la reclamación del primero al segundo tras la intervención del accipiens. Oscilando entre las dos posiciones mayoritariamente defendidas por doctrina y jurisprudencia, el contrato de comisión mercantil y la compraventa mercantil con condición suspensiva, se ofrece una explicación del contrato estimatorio, acorde con el sistema español de transmisión de la propiedad, con algunos postulados básicos del Derecho de obligaciones y con las peculiaridades que presenta el tráfico de los bienes muebles.
