Book excerpt: This work builds on the classical sociological contributions of Weber, Simmel, and Toennies, and makes the case for different and alternative ideal-typical models of business relations, which the author calls "English" and "German." The "English" model of business relations is characterized by free competition between firms. They abide by the ethical rules of fair business and the moral economy in market exchanges. Their relations are accordingly based on mutual trust. As a rule, they do not cultivate privileged relations with political authorities. By contrast, the "German" model involves hierarchical relations between a group's major firm and its smaller units. There is no moral community binding together the different groups, and therefore no mutual trust between them. Business groups maintain close relations, based on reciprocal favours, with authorities. The author compares the London and New York Stock Exchanges in the late nineteenth century, finding the former better approximates the "English" model, and shows this model's superior performance. "English" model countries such as Taiwan have been shown to be more competitive in market exchanges than countries such as South Korea, which approximate the "German" model. A new epilogue makes use of more recent information and confirms Segre's arguments.

An average of 16.7% local bank credit growth where corporate shareholders are located would increase subsidiaries investment by 1% of their tangible fixed asset value, which accounts for 71% (7%) of the median (average) investment rate among these firms. We argue that equity exchanges is one channel through which corporate shareholders transmit bank credit supply shocks to the subsidiaries and provide empirical evidence to support the channel.

Book excerpt: Chapter 2: Business groups are an essential feature of economic and social organization across the world. As such, they provide a compelling empirical and theoretical tool for improving our understanding of the ownership and control of organizations outside of the Anglo-American tradition. However, widely incorporating business groups into analyses of regions like the Middle East has been limited by the availability of information on group membership. This paper seeks to advance the comparative study of corporate governance by demonstrating a method for inferring these groups with data on director-firm and ownership networks of publicly traded companies using data for 1336 listed firms from 12 Arab countries in the Middle East and North Africa (MENA) region. Group-level measures are then calculated based on information aggregated from firms affiliated with each potential group. These data are used to support the validity of the communities by showing that---based on scores of family influence, geographic heterogeneity, and government ownership---it is possible to identify groups corresponding to one of these specific and measurable axes of solidarity. Chapter 3: Although business groups have been intensely studied in regions like Latin America and East Asia, the literature on the Middle East and North Africa is relatively less developed; the sparsity of this research is a pressing concern because of the variety of ways in which business groups have been shown to influence the political allocation of economic resources in these other parts of the world. This study presents evidence for the value-relevance of family business groups, government ownership, and other inter-firm relationships among 1110 publicly traded firms in 12 countries in the Middle East and North Africa. Due to the difficulty in obtaining direct observations of business group membership, business groups are inferred with methods from network analysis. Next, I apply a Bayesian multilevel model to estimate the associations between group-comembership(as well as other relationships), and pairwise stock returns correlations. Using the results of the model, I perform an exploratory analysis of the correlations between exchange-level attributes and estimated cofficient values, finding that, despite the small number of exchanges, minority-investor protections appear to be associated with stronger value-relevance of business groups. Chapter 4: We use a novel data set of the outcomes of 18125 loan guarantee transactions attempted by Chinese public firms between 2008 and 2015 to study banks' reactions to related party transactions in the context of ongoing marketization reforms. We find that guaranteed loans with better governed guarantors from more marketized provinces are more likely to succeed, that the influence of political ties is contingent on the ownership structure of the guarantor, and that the embeddedness of the transaction in multiplex relationships between the guarantor and bank increases the likelihood of approval.

As modernization takes place, either because information problems become less severe or more firms enter the economy, business groups actually expand in size before being abruptly rendered obsolete by the stockmarket. This is consistent with stylized facts from a number of emerging economies.

Banks and other financial institutions quickly become insolvent, and heavily indebted industrial firms went bankrupt. Many of these firms were affiliated with the business groups of this region, yet most groups did not immediately collapse, indeed they proved remarkably robust, some surviving and even prospering. This book examines these East Asian business groups and their subsequent restructuring following the Asian Crisis. East Asian nations embarked on very different trajectories to this common external shock. The Asian Crisis affected the inter-relationships among the socio-cultural environment, the state, and the market of each country quite differently and had distinct effects on the operations of these countries' business groups. This slow yet divergent pattern of development provides evidence against theories of rapid global convergence. Yet East Asian business groups face an uncertain future. Foreign investors' influence has increased substantially since the crisis, as East Asian governments had to accommodate their demands to keep attracting foreign capital. Governments supervise banks more closely and have loosened restrictions on mergers and hostile takeovers, further strengthening the discipline of the market. Various entry barriers that had inhibited foreign multinationals from competing in national markets were lifted, exposing business groups to intensified foreign competition. Under these new conditions, business groups in East Asia should reconfigure their business structures and adjust their corporate governance systems to regain momentum for further growth. Business groups will continue to be important vehicles for the sustained future growth of this region, and this book presents a substantial amount of new data on this, which will be of interest to academics, researchers, and advanced students of East Asian business, and business practitioners working within the region.
