Book excerpt: This Report presents the results of empirical research concerning the progress of privatization and its impact on the situation of privatized enterprises. The study is a part of the system of monitoring the processes of ownership transformations in the Bulgarian economy. The research was carried out in autumn 1998 by the Center for Economic Development (CED) in Sofia, the Agency for Economic Analysis and Forecasting (AEAF) in Sofia, and the Center for Social and Economic Research (CASE Foundation) in Warsaw. The research was a part of an advisory project "Support for Economic Reforms in Bulgaria", implemented by the CASE Foundation and financed by the Open Society Institute in Budapest. The research team consisted of: Julian Pankow (CASE) - project coordinator and research leader, Lubomir Dimitrov (AEAF) and Piotr Kozarzewski (CASE). Moreover, the following persons were involved in various stages of preparation and implementation of the project: Mariela Nenova (AEAF Director), Marinela Petrova (AEAF), Diana Hristozova (CED) and Boguslav Tatarevich (CASE). The fieldwork part of the research was completed in September and October 1998 by Vitosha Research company affiliated at the Center of the Study of Democracy in Sofia.

We believed that worldng on the book would provide valuable learning experiences for all the cooperators, and that the book itself would make a useful contribution to understanding the economic transition process and its policy implications. We recognized that a project of this nature would require the skills and knowledge of many people. To those 34 additional contributors to this volume, and to the many other friends, colleagues, and experts who gave generous advice, we give our sincerest thanks. We also acknowledge with thanks the support of several organizations to a reality. Much of the that transfonned this book from an idea research reported here was a major part of an educational project funded by the University Affiliations Program of the U.S. Information Agency. The project linked the University of California, Berkeley, Wye College of London University, and the Research Institute of Agricultural Economics, Sofia, in a cooperative effort to improve the quality of policy analysis. The research provided hands-on experience necessary for effective teaching in this area.

In the first wave of this programme, which was completed in June 1997, about one-fourth of Bulgaria's state-owned enterprises were partially privatized through the programme. Patterned after the Czech mass privatization programme, an important outcome of the Bulgarian programme is that investment funds have become important agents in the private sector of the economy. It is too early to determine whether enterprise restructuring will now occur, but initial market signals suggest that Bulgaria may soon suffer from many problems that now confront the Czech economy unless new corporate laws supporting ownership rights and better capital market regulations are enacted.

Book excerpt: This study examines the emergence of the Bulgarian stock market and the role of controlling blockholders. A new approach using mass privatization auction data measures the premium for control and demonstrates that, in the absence of legal constraints, majority owners extract more than 85% of firm value as private benefits of control. Institutional investors form portfolios of predominantly controlling positions or participate in majority coalitions. Ownership stakes cluster at 51%. After the privatized companies begin trading on the Bulgarian Stock Exchange, majority-owned firms trade at 40-60% discounts. Overall, the results support the Fama and Jensen (1983) view that majority-owned firms cannot persist as publicly traded corporations if the expropriating activities of controlling blockholders are not legally restricted.
