Available in PDF, EPUB and Kindle. Book excerpt: This paper empirically relates subordinate board structures with improved financial and social performance in microfinance institutions (MFIs). The research question is analyzed using a panel data from 23 microfinance institutions in Ethiopia over a period of 2006-- 2011. Random effects panel data estimation is applied to analyze the link between board committees and MFI's performance. In MFIs with larger than average boards, the findings demonstrate significant ties between financial and outreach performance and how their boards are structured. The structure of board committees moderates the relation between board size and financial and outreach performance measures. Importantly, board committee benefits MFIs through better operational self-sufficiency, lower operating expenses, greater outreach to customers, and outreach to poorer customers using average loan size as our proxy. Practitioners within microfinance sector, and those operating in advisory and regulatory roles to the sector could benefit from the argument advanced in the paper in that normative recommendation to restructure boards or establish committees requires reevaluating the board characteristics vis-à-vis the optimal monitoring, controlling, and advising needs of the institution. Prior literature focuses on who sits on boards, how large are the boards, and how independent are they. This paper advances our understanding of the structure of board committees and how this may affect the performance of MFI. This approach provides better representation of director's role and is thereby a good test of board effectiveness.

Book excerpt: This study examined the relationship between financial performance and Microfinance sustainability, with interest on the impact of corporate governance in improving or otherwise of financial performance of microfinance banks in Nigeria. This interest was provoked by the fact that notwithstanding the introduction of corporate governance in Nigeria, there are still cases of the folding up of many microfinance institutions. Therefore, the study sought answers to: what is the relationship between financial performance and microfinance sustainability? What is the impact of board size and composition on financial performance? And what is the impact of the composition of board committees on financial performance? Using quantitative empirical method on selected microfinance banks in the South East Nigeria, the study employed the Ordinary Least Square (OLS) analysis on secondary data collected from financial reports of the selected banks for a period of thirteen (13) years (2005-2017). The study used the board of directors as the proxy for corporate governance, with Board size and composition as independent variables and Profit after Tax as dependent variables. The result shows that the link between board size and profitability does not imply board size to increase profitability as number of shareholders has negative relationship with profit before tax. Rather, the result found a positive relationship between equity of MFIs and profit after tax, which means that the higher the equity of MFIs, the higher their profitability. Therefore, the study recommends that the MFIs should concentrate more on raising share capital as well as constituting efficient boards and committees for effective corporate governance that will result in the sustainability of the MFIs.

Empowering them to exercise effective monitoring of management, however, may prove to be a formidable challenge for of state owned enterprises. More attention to board procedures, particularly related to the Board selection and evaluation process, is essential, to produce the necessary insulation of Boards from government interference. Ensuring sufficient continuity of services to directors is particularly crucial to improve corporate governance. In addition, other factors that may reduce directors' ability to monitor corporate activities, such as the age profile and the number of Boards on which they sit, need to be handled more carefully.
