Available in PDF, EPUB and Kindle. Book excerpt: This book was designed not only for owners and managers of middle market businesses but as a training text for middle market M&A investment bankers and consultants. It discusses the art and science of middle market M&A as well the all-important psychology and behind-the-scenes negotiations pursued with a particular emphasis on obtaining the absolute highest value when selling a business. Subjects addressed include valuation, taxation, negotiations, M&A conventions, among many others from the buy-side and sell-side perspectives. Subtitled “Tales of A Deal Junkie,” this serious but occasionally irreverent book tells it like it is, including anecdotes to provide a “feel” for what really goes on in middle market transactions. The author, a former practicing CPA and a business valuation expert, is a veteran M&A investment banker with years of real life experience. He also is a widely-acclaimed instructor in the M&A field and a nationally-respected practitioner who has trained thousands of investment bankers. No comparable book on the market today provides this degree of comprehensive and invaluable insight.

Available in PDF, EPUB and Kindle. Book excerpt: The development of public transit is an integral part of both business and urban history in late nineteenth-century America. The author begins this study in 1880, when public transportation in large American cities was provided by numerous, competing horse-car companies with little or no public control of operation. By 1912, when the study concludes, a monopoly in each city operated a coordinated network of electric-powered streetcars and, in the largest cities, subways, which were regulated by city and state agencies. The history of transit development reflects two dominant themes: the constant pressure of rapid growth in city population and area and the requirements of the technology developed to service that growth. The case studies here include three of the four cites that had rapid transit during this period. Each case study examines, first, the mechanization of surface lines and, second, the implementation of rapid transit. New York requires an additional chapter on steam-powered, elevated railroads, for early population growth there required rapid transit before the invention of electric technology. Urban transit enterprise is viewed within a clear and familiar pattern of evolution--the pattern of the last half of the nineteenth century, when industries with expanding markets and complex, costly processes of production and distribution adopted new strategy and structure, administered by a new class of professional managers.

Available in PDF, EPUB and Kindle. Book excerpt: Case-based reasoning means reasoning based on remembering previous experiences. A reasoner using old experiences (cases) might use those cases to suggest solutions to problems, to point out potential problems with a solution being computed, to interpret a new situation and make predictions about what might happen, or to create arguments justifying some conclusion. A case-based reasoner solves new problems by remembering old situations and adapting their solutions. It interprets new situations by remembering old similar situations and comparing and contrasting the new one to old ones to see where it fits best. Case-based reasoning combines reasoning with learning. It spans the whole reasoning cycle. A situation is experienced. Old situations are used to understand it. Old situations are used to solve a problem (if there is one to be solved). Then the new situation is inserted into memory alongside the cases it used for reasoning, to be used another time. The key to this reasoning method, then, is remembering. Remembering has two parts: integrating cases or experiences into memory when they happen and recalling them in appropriate situations later on. The case-based reasoning community calls this related set of issues the indexing problem. In broad terms, it means finding in memory the experience closest to a new situation. In narrower terms, it can be described as a two-part problem: assigning indexes or labels to experiences when they are put into memory that describe the situations to which they are applicable, so that they can be recalled later; and at recall time, elaborating the new situation in enough detail so that the indexes it would have if it were in the memory are identified. Case-Based Learning is an edited volume of original research comprising invited contributions by leading workers. This work has also been published as a special issues of MACHINE LEARNING, Volume 10, No. 3.
