The SDN examines the various impediments to the development of a well-functioning and liquid securitization market in Europe and proposes a comprehensive multi-faceted strategy to support its development through regulatory reforms and infrastructure development together with targeted and time-bound official sector support. This would require (i) greater regulatory differentiation between securities of different quality and underlying asset structures; (ii) harmonized national enforcement and insolvency frameworks and standardized reporting requirements; and (iii) greater capacity of EU authorities to support new issuance. These measures would be underpinned by a pan-European definition of high-quality securitization (HQS) comprising simple, transparent and efficient asset structures receiving preferential regulatory treatment.

While their asset-backed securitization (“securitization”) regulations have had some positive impact on the functionality of the debt markets in the United States, Europe and beyond, they (1) have thus far failed to provide a coherent legal framework for market participants to rely upon and have (2) increased the political risk associated with involvement in the debt markets.The disjointed and improperly targeted nature of regulatory efforts thus far are evident in the primary areas of securitization regulation thus far, the so-called “skin in the game” regulations and transparency regulations. In both areas, the United States and the EU have started with similar objectives but are in the process of instituting regulatory regimes that fail to be properly coordinated within their own jurisdictions and across jurisdictions as well. Part of the reasons for this is that regulators, in a bit of panic or maybe opportunism, started the regulatory process before they could fully understand what they were regulating or the true nature of the problems they were trying to deal with.As regulators and market participants around the world endeavor to restart ABS markets or even launch them for the first time, they need to do a better job of understanding the institutions and markets they are seeking to regulate. Additionally, they need to acknowledge that no regulations can make up for prudent underwriting and thorough due diligence. No amount of regulation can force such activities to take place.

Die Refinanzierung des SPV erfolgt über die internationalen Geld- und Kapitalmärkte durch die Emission von Wertpapieren, den Asset-Backed Securities (ABS), die Gegenstand dieser Arbeit sind. Alternativ ist eine Refinanzierung über die Aufnahme von Krediten möglich, jedoch fehlt hierbei der in der Asset Securitization inhärente Begriff der Wertpapiere (Securities), weshalb diese Form der Refinanzierung nicht Gegenstand dieser Arbeit ist.4 Die vorliegende Arbeit gibt einen Einblick in die Entwicklung, die Strukturen sowie die Vorund Nachteile der Asset Securitization, die aufgrund ihrer hohen Aktualität und des Einbezugs verschiedenster wissenschaftlichen Disziplinen zur Zeit eine der schwierigsten und komplexesten Finanzierungsformen an den internationalen Finanzmärkten darstellt.5 Zu Beginn in Kapitel 2 auf Grundlagen der Asset Securitization eingegangen. This would require (i) greater regulatory differentiation between securities of different quality and underlying asset structures; (ii) harmonized national enforcement and insolvency frameworks and standardized reporting requirements; and (iii) greater capacity of EU authorities to support new issuance. These measures would be underpinned by a pan-European definition of high-quality securitization (HQS) comprising simple, transparent and efficient asset structures receiving preferential regulatory treatment.
