Neste estudo, procuramos analisar os pontos de conexão da Lei Anticorrupção Brasileira com o Direito Comercial, incluindo a Lei das Sociedades por Ações, o Código Civil e a Lei de Recuperação de Empresas. Analisamos os limites da responsabilidade objetiva no âmbito do Direito Administrativo Sancionador, a solidariedade do grupo econômico, a desconsideração da personalidade jurídica, o tratamento de passivos de corrupção nos planos de recuperação judicial e a sucessão de multas de corrupção e penas restritivas de direito em reorganizações societárias e aquisição de negócios ou estabelecimentos. Concluímos que as sanções judiciais e administrativas da Lei Anticorrupção Brasileira, por possuírem natureza punitiva, dependem, necessariamente, da verificação de algum tipo de culpabilidade ou reprovabilidade, que pode ser o recebimento de benefícios indevidos, a inobservância do cuidado objetivo necessário ou a falha de organização. Analisamos as hipóteses legais de sucessão das sanções administrativas e judiciais nas reorganizações societárias e, no contexto recuperação judicial de empresas, entendemos que a responsabilização administrativa e civil da Lei Anticorrupção Brasileira não se transmite ao adquirente de unidades produtivas isoladas, e a proteção do art. 60 da Lei de Recuperação de Empresas deve prevalecer. Com relação à responsabilidade solidária do grupo empresarial (sociedades controladoras, controladas, coligadas ou consorciadas), entendemos que essa solidariedade não pode ser automática, mas infelizmente faltam parâmetros legais claros para delimitar seu alcance. Essa falta de parâmetros cria uma insegurança jurídica que pode ser muito negativa para o mundo das operações de aquisições de empresas e trespasse de negócios. Por fim, exploramos a responsabilidade dos financiadores por atos de corrupção, uma vez que, em circunstâncias excepcionais, sanções administrativas e judiciais poderão ser estendidas às instituições financeiras financiadoras de atividades corruptas, os chamados "corruptores indiretos".

The Angolan economy is now experiencing massive oil windfall gains that are expected to last throughout the next decade. Since oil rents are to a large part concentrated in the public sector, the question of how the oil revenue should be spent and distributed across present and future generations becomes key to any economic development strategy. This study identifies six core areas where a strategic approach for the development of a broad-based growth strategy is required: (i) the incomplete transition to a market economy; (ii) macroeconomic management; (iii) governance and transparency in the management of the mineral wealth; (iv) the business environment; (v) agriculture; and (vi) public service delivery to the poor.
