Book excerpt: We examine the role and influence of female directors in high risk strategic board decision-making by applying critical mass theory to mergers' and acquisitions' decisions of Fortune 100 corporations. Applying critical mass theory, we analyze whether behavioral differences manifest themselves in the decision-making of women directors when the board of directors consists of a certain percentage of women. We hypothesize that women, as a minority group of directors, engage in less discussion and debate on high risk strategic board decisions (and thus vote with the majority on such matters) in the absence of a critical mass of women directors. We conclude that the tipping point for critical mass is proportional at thirty percent, and having a critical mass of women on corporate boards of directors is generally important for women director discussions and debates in high risk strategic board decisions.

Book excerpt: Following Kanter's critical mass theory, this paper argues that the relationship between gender-diverse boards and firm performance is curvilinear and that free cash flows and firm complexity moderate the relationship. Fixed effect regression and two-stage system GMM estimator are used to model the relationships and effectively control for unobservable firm and governance factors, using a sample of S&P 1500 firms, spanning from 1998 to 2018. We also use the Heckman selection model to test for the possibility of a self-selection bias. We find evidence that women directors self-select firms in which they are appointed as directors based on profitability, the firm's stock performance, and the firm's growth potential. We also find that complex firms with more than 30 per cent female representation on the board are more likely to reduce firm risk than firms with a lesser proportion of women. Theoretical and practical implications, as well as areas for further research, are discussed.

Book excerpt: In this Article, we report and analyze the results of forty-six wide-ranging interviews with corporate directors and other relevant insiders on the general topic of whether and how the racial, ethnic, and gender composition of corporate boards matters. In particular, we explore their views on the concept of “critical mass” -- that is, the theory that women and racial or ethnic minorities are unlikely to have an impact in the boardroom until they grow from a few tokens into a considerable minority of the board. In contrast to other recent qualitative research on corporate boards, we find more limited support among our respondents for critical mass theory. Though some female respondents expressed the view, consistent with critical mass theory, that having more women on the board increased their comfort level and eased some of the stresses associated with being the first and only female, this narrative is in tension with our respondents' apparent embrace of their first and only status. Moreover, with the possible exception of employee relations, our interviews largely fail to support the theory that a critical mass of female directors will produce different, and distinctly feminine, boardroom outcomes.

Our basis for this judgment was whether the firm was listed on either (both) Ethisphere Magazine's 2010 “World's Most Ethical Companies” or (and) Corporate Responsibility Magazine's 2010 “100 Best Corporate Citizens List.” Our results indicate that, as the number of women directors increased, the probability of a corporation appearing on these lists increased. We also found that a “critical mass” of women directors was indicated by the data for Ethisphere Magazine's but not Corporate Responsibility Magazine's list.

These studies, however, cannot explain why, in countries with strong gender equality and pressure for female directorships, firms are still hesitant to promote new women to their boards. To address this issue we - in this study - introduce the cognitive and affective processes related to directors' identification with the traditional corporate elite as an explanation for the slow organizational response to pressure for gender diversity on boards. We bridge the social identity and critical mass theory to further show how these responses may vary with the current composition of the board. Viewing the board as a locus for the maintenance of the positive distinctiveness of the established corporate elite, we conjecture that new female appointments will not only depend on the current share of women on board but also on the current (minority) share of board positions held by male directors who are not prototypical of the established elite. We also uncover how this relationship is moderated by the share of institutional investors' ownership. We test and support these propositions on a sample of 387 publicly traded Nordic corporations during 2001-2008.

This report reviews the research on the extent to which women in the fields of science, engineering, and medicine are victimized by sexual harassment and examines the existing information on the extent to which sexual harassment in academia negatively impacts the recruitment, retention, and advancement of women pursuing scientific, engineering, technical, and medical careers.
